Brokerage

Brokerage services are provided to Armenian and foreign individuals and legal entities, including institutional investors, both on regulated and non-regulated (OTC) markets.

Brokerage services include the following:

  • opening of a brokerage account for clients,
  • assistance in opening depo account in “Central Depository of Armenia” OJSC,
  • execution of transactions with securities on the Armenian regulated and/or non-regulated capital market, as well as global markets (download order form),
  • short-sale services,
  • margin-sale services,
  • provision of information on the current market prices for securities,
  • acceptance and transfer of securities transactions orders (including via internet terminals).

Registry Keeping

ARMBROK has obtained the status of the Account Operator for the unified securities registry keeping and settlement system of the Central Depository of Armenia. As the Account Operator, the company acts as the intermediary for the following Depository services:

1. Registry-related services:

  • Securities registry maintenance and keeping,
  • Registration of transactions related to placement of securities,
  • Registration of transactions related to corporate actions,
  • Provision to the issuer of the list of registered securities and other information,
  • Registration of changes related to the issuer.

2. Securities custody:

  • Account opening and maintenance,
  • Securities transfers,
  • Pledging and release of securities,
  • Blocking and unblocking of securities accounts,
  • Provision to account holders of account statements and other information.

3. Transactions related to payment and redemption of bond coupons and dividends.

4. Overseeing issuer compliance with securities purchase and other restrictions defined by the issuer's charter and the current legislation.

5. Advising the issuer on securities movements (securities transfer instructions and securities pledge transactions).

Custody Services

Custody services are provided to owners of securities (shares and bonds) including individuals, companies, asset managers and other custodians. The subject of custody can be any security, issued in Armenia as well as in other foreign countries.

As part of custody activity, we offer our customers the following services:

  • opening and maintaining securities depo account
  • registering the ownership right towards corresponding security
  • acting as a nominee holder of securities for other custodians and shareholder service providers
  • distributing information or a document from the issuer and/or custodian to customer and vice versa in order to realize all the rights entitled by the security.
  • implementing all the corporate actions related to the securities accrued on the owner’s account
  • registering pledging or other seizure of the securities, accrued on the owner’s account
  • providing customers statements and reports on executed transactions with the securities accrued on his/her account
  • acting on behalf of clients on shareholder meetings
  • providing the customer with information about the securities market, financial and operating condition of the issuer
  • consulting the customer on securities/investments registration systems
  • providing the customer with other services, which are not prohibited by laws and other legislative acts

Market Making

As soon as a company plans to list its securities on the stock exchange, there comes the question of how to make sure that the investors are always able to buy and sell them after the initial placement. It is exactly where market makers step in helping the issuer to bolster a security’s – be that a stock or a bond – liquidity in the secondary market by providing continuous bid and ask quotes.

Normally, only a full member of the stock exchange may perform a market maker’s activity. As one of the oldest investment and brokerage companies in Armenia and one of the founders of the Armenian stock exchange, ARMBROK was also one of the first professional firms to provide market making services .

Other Services

Besides securities-related services ARMBROK also offers its customers currency dealing services. Buying and selling of currency on behalf of clients is implemented based on their orders and at the expense of the funds available on their accounts. Transactions can be implemented in one of the following schemes:

  • internal transaction, where one of the parties is ARMBROK and the other is the client,
  • external transaction, where the transaction is concluded with a third party (can be an exchange or OTC trade with a bank).
